These Terms & Conditions ("Terms") govern your use of govaera.com (the "Site") and set out the general terms on which Govaera Inc. ("Govaera," "we," "us") engages with buyers and vendors. By using the Site, you accept these Terms. Specific transactions are governed by the written quote, purchase order, or contract that documents them — those documents control over these Terms where they differ.
You may use the Site for lawful business purposes: learning about our capabilities, submitting inquiries, requesting quotes, and applying to our vendor network. You agree not to submit false or misleading information, interfere with the Site's operation, or attempt unauthorized access to any system or data.
Content on the Site — including capability descriptions, category lists, and past-performance summaries — is provided for general information. It is not an offer, and it does not create a contract. Product availability, pricing, and lead times are confirmed only in a written quote. Registration data shown on the Site (SAM.gov UEI, CAGE code) can be independently verified on SAM.gov.
Quotes issued by Govaera are valid for the period stated on the quote (or 30 days if none is stated) and are subject to supplier availability at time of order. A binding agreement forms when both parties execute a purchase order or contract in writing.
For government buyers: Govaera performs under the terms of the applicable solicitation and contract, including incorporated FAR and, where applicable, DFARS clauses. Nothing on this Site modifies the terms of any government contract.
Requirement details, pricing, and proposal information exchanged in the course of quoting are confidential. Each party will use such information only for the transaction at hand and will not disclose it to third parties except as required to perform or as required by law. Govaera does not disclose one vendor's pricing to another.
The Site and its content — text, design, graphics, and the Govaera name and mark — are the property of Govaera Inc. and are protected by applicable intellectual-property laws. You may not reproduce or use them for commercial purposes without our written consent. Third-party names and marks referenced on the Site belong to their respective owners; references do not imply endorsement.
The Site is provided "as is" and "as available." While we work to keep information current and accurate, we make no warranty that the Site is error-free or uninterrupted. Past performance described on the Site is historical fact, not a guarantee of future results or of award outcomes on any solicitation.
To the maximum extent permitted by law, Govaera's liability arising from use of the Site is limited to direct damages and excludes indirect, incidental, consequential, and punitive damages. Liability arising from a specific transaction is governed by the contract documenting that transaction. Nothing in these Terms limits liability that cannot be limited under applicable law, including under federal contracting regulations.
You agree to indemnify Govaera against claims arising from your breach of these Terms or from false or misleading information you submit through the Site.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes arising from use of the Site will be resolved in the state or federal courts located in Harris County, Texas. Disputes under a government contract follow the disputes process specified in that contract (including the Contract Disputes Act where applicable).
We may revise these Terms from time to time. The current version, with its effective date, will always be posted on this page. Continued use of the Site after changes take effect constitutes acceptance.
